# Terms of Service

## 1. Agreement to these terms

These terms govern your use of soulagave.com, our client portal, and any event website, RSVP form, guest link or inquiry form we operate. By using any of them you agree to these terms. If you do not agree, do not use them.

**These terms are not your planning contract.** If you have signed a planning, coordination, design or production agreement with Soul Agave, that agreement governs our work together. Where these terms and that agreement conflict, the signed agreement wins.

## 2. Who we are

Soul Agave is an event planning, design and production studio based in Arizona. Contact: **hello@soulagave.com**.

## 3. What we provide

Through our websites and portal we may provide:

- Information about our services
- Inquiry, booking and consultation request forms
- A client portal where clients access their planning materials, timelines, budgets, documents, contracts and messages
- Event websites, RSVP forms and guest information pages that we host on behalf of clients
- Shared links to timelines, guest details and other event materials

Availability is not guaranteed. We may change, suspend or discontinue any part of these at any time.

## 4. Inquiries and proposals

Submitting an inquiry or booking request does not create a contract and does not reserve a date. Nothing is booked until a written agreement is signed and any required retainer is paid. Pricing shown or quoted is an estimate until it appears in a signed agreement.

Proposal packages, pricing and inclusions described on our website are starting points and are subject to change based on scope, date, location and availability.

## 5. The client portal

If you are given access to our client portal, you are responsible for keeping your login credentials secure and for everything done under your account. Tell us immediately if you believe someone else has access.

Do not share portal access with anyone we have not authorized. Content in the portal — timelines, budgets, vendor details, design materials — is provided for your event and is not to be republished or shared for other purposes.

We may suspend or remove access at the end of an engagement, or if access is misused.

## 6. Event websites and guest links

We host event websites, RSVP forms and shared guest links on behalf of our clients.

**If you are a guest**, you may use these to respond to an invitation and to access information about the event you were invited to. Guest links are private. Do not share them beyond the people they were intended for.

**If you are a client**, you are responsible for the content you supply for your event website — text, photographs, guest lists and any materials you upload — and you confirm you have the right to use it. You are also responsible for having a basis to provide us with your guests' contact details.

We may remove content that is unlawful, infringing, or that we reasonably believe should not be published.

## 7. Text message program

By providing your mobile number and agreeing to receive text messages when responding to an event invitation, you consent to receive text messages from Soul Agave about that event. **Consent is not a condition of attending an event or of any purchase.**

Message frequency varies by event and by how close the event date is. Message and data rates may apply. Soul Agave is not responsible for charges from your mobile carrier.

Reply **STOP**, STOPALL, UNSUBSCRIBE, END, QUIT or CANCEL to any message to stop receiving them. Reply **START** or YES to resume. Reply **HELP** or INFO for assistance, or contact hello@soulagave.com.

Carriers are not liable for delayed or undelivered messages. Delivery is not guaranteed and should not be relied on as the sole notice of a change to an event.

This program is operated by Soul Agave on behalf of the client hosting your event. How we handle your number is described in our Privacy Policy.

## 8. Acceptable use

Do not:

- Use our sites for any unlawful purpose
- Attempt to access accounts, data or systems you are not authorized to reach
- Probe, scan or test the security of our systems
- Submit false information, impersonate anyone, or respond to an invitation on someone else's behalf without their permission
- Upload anything malicious, or anything obscene, harassing or infringing
- Scrape, harvest or bulk-collect information from our sites, including guest information
- Send automated or repeated submissions to our forms
- Interfere with anyone else's use of our sites

We may suspend or block access for any of the above.

## 9. Intellectual property

**Ours.** The Soul Agave name, logo, brand elements, website content, designs, planning templates, timelines, checklists, documents and other materials we create are our property or used under license. You may not copy, republish, resell or create derivative works from them without our written permission.

Planning materials we prepare for a client are for that client's event. They remain our intellectual property and may not be shared with other planners, vendors or businesses for reuse.

**Yours.** You keep ownership of content you supply — your photographs, text, guest information and uploads. By supplying it, you grant us permission to use it as needed to plan, produce and deliver your event, and to host it on any event website we build for you.

**Photography and portfolio use.** Unless your signed agreement says otherwise, we may use photographs and video of events we have planned in our portfolio, website, social media and marketing materials. Tell us in writing if you would prefer we did not, and we will honor it.

## 10. Third-party vendors

We source, recommend and coordinate with independent vendors — venues, caterers, photographers, florists, rental companies, entertainment and others. Unless your agreement says otherwise, those vendors contract directly with you or are engaged by us on your behalf under separate terms.

We are not responsible for the acts, omissions, quality of work, pricing, cancellation or non-performance of any third-party vendor. Where we have paid a vendor on your behalf, our responsibility is limited to the coordination we agreed to perform.

Vendor directories, recommendations and profiles shown on our sites are provided for convenience and are not an endorsement or guarantee.

## 11. Payments

Payment terms, retainers, schedules and cancellation or refund terms are set out in your signed agreement, not here. Retainers are generally non-refundable; your agreement is what controls.

Payments made through our sites are processed by a third-party payment processor subject to their terms. We do not store full payment card numbers.

## 12. Disclaimers

Our websites and portal are provided "as is" and "as available." We do not warrant that they will be uninterrupted, error-free, or free of harmful components, or that information on them is complete or current.

Information on our sites — planning advice, timelines, budget guidance, vendor information — is general and provided for convenience. It is not professional, legal, financial or medical advice.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

## 13. Limitation of liability

To the fullest extent permitted by law, Soul Agave and its owners, employees and contractors are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or loss of goodwill, arising from your use of our websites or portal.

Our total liability arising out of or relating to these terms will not exceed the greater of one hundred US dollars or the amount you paid us for use of the websites or portal in the twelve months before the claim.

**This section limits liability for the websites and portal.** Liability relating to planning services is governed by your signed agreement.

Nothing here limits liability that cannot be limited by law.

## 14. Indemnity

You agree to indemnify and hold Soul Agave harmless from claims, damages and reasonable legal costs arising from your use of our sites, your breach of these terms, content you supply, or your violation of anyone else's rights.

## 15. Governing law and disputes

These terms are governed by the laws of the State of Arizona, without regard to conflict of laws rules. Any dispute arising out of them will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of those courts.

Before filing anything, contact us at hello@soulagave.com. Most disputes are resolved faster by talking.

## 16. Changes to these terms

We may update these terms. When we do, we will change the date at the top. Continuing to use our sites after a change means you accept the updated terms.

## 17. Severability and entire agreement

If any provision is found unenforceable, the rest remains in effect. These terms, together with our Privacy Policy and any signed agreement between us, are the entire agreement regarding your use of our websites and portal.
